1. Introduction and Acceptance
Welcome to Maatrics ("Platform", "Service", "we", "us", or "our"). Maatrics is an AI-powered human resources assessment platform that evaluates candidates through voice-based conversations with artificial intelligence agents, analyzing proficiency across multiple competencies and language skills.
By accessing or using the Maatrics platform, including any associated websites, applications, APIs, or services, you ("User", "you", or "your") agree to be bound by these Terms of Service. If you do not agree, you must not access or use the Service. These Terms apply to all users including candidates (applicants), company administrators, and sub-administrators.
2. Description of Services
2.1 Assessment and Examination
Creation and management of candidate assessments using AI-driven interview scenarios, real-time voice-based interviews with AI agents, roleplay simulations, competency-based interviews, language assessments, analytical case studies, and automated scoring and analysis.
2.2 Proctoring and Security Monitoring
Video, audio, and screen recording during examinations. Browser lockdown and monitoring, face detection and identity verification, secondary camera monitoring, detection of prohibited objects and unauthorized devices, and AI-based detection of potential use of AI tools by candidates.
2.3 Meeting Analytics
Integration with third-party meeting platforms (Microsoft Teams, Zoom, Google Meet) for recording and analysis, automated transcription and summarization, participant performance analysis, and calendar integration.
2.4 AI Persona and Development
AI-powered character interactions for training and development, micro-training courses with AI tutors, and follow-up sessions with progress tracking.
2.5 Communication and Integrations
In-platform messaging between candidates and administrators, AI-assisted conversations, and integration with external Applicant Tracking Systems (ATS).
3. Account Registration and Eligibility
You must be at least 18 years of age or the age of majority in your jurisdiction to use the Service. You agree to provide accurate, current, and complete information during registration and are responsible for maintaining the confidentiality of your account credentials.
Multi-factor authentication, including one-time passwords (OTP), may be required. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.
Candidates may be required to complete identity verification (KYC) procedures including providing facial video recordings and voice samples for biometric verification before participating in assessments.
4. User Obligations and Acceptable Use
4.1 General Conduct
You agree to use the Service only for its intended purposes, comply with all applicable laws, provide truthful information, and respect intellectual property rights.
4.2 Prohibited Activities
You shall not: circumvent or interfere with security features including proctoring, browser lockdown, or identity verification; use unauthorized tools or AI during assessments; share assessment content with third parties; create multiple accounts or impersonate others; attempt to manipulate AI systems or scoring algorithms; use automated bots or scrapers; or engage in any activity that could disrupt the Service.
4.3 Assessment Integrity
Candidates must complete assessments independently, remain in the designated environment, not use prohibited devices or materials, and comply with all proctoring requirements. Violations may result in assessment invalidation, score nullification, and reporting to the sponsoring organization.
4.4 Company Administrator Obligations
Company Administrators agree to comply with applicable employment and data protection laws, obtain necessary candidate consents, not use assessment data for discriminatory purposes, maintain candidate data confidentiality, and ensure assessment configurations comply with local legal requirements.
5. AI-Powered Services
The Platform uses artificial intelligence for conducting interviews, analyzing responses, scoring competencies, generating reports, and providing recommendations. AI-generated assessments are intended to supplement, not replace, human judgment.
All interactions with AI agents during assessments are recorded, transcribed, and analyzed. Conversation transcripts are processed by third-party AI service providers. The Platform employs AI detection mechanisms to identify potential unauthorized use of AI tools by candidates.
We do not guarantee the accuracy, completeness, or reliability of AI-generated assessments, scores, or recommendations. The Platform is designed as a decision-support tool, and final decisions remain the responsibility of the Company Administrator.
6. Intellectual Property
All rights, title, and interest in the Platform, including software, algorithms, AI models, and documentation, are owned by Maatrics or its licensors. You retain ownership of content you upload and grant Maatrics a non-exclusive, worldwide, royalty-free license to use such content as necessary to provide the Service.
Assessment scenarios, AI prompts, scoring rubrics, and case study materials provided by Maatrics are proprietary and confidential.
7. Recording, Monitoring, and Data Collection
By using the Platform for assessments, you consent to: audio and video recording of your interactions, screen recording and capture, secondary camera recording of your environment, and browser activity monitoring.
The Platform may collect biometric identifiers including facial geometry data and voice characteristics for identity verification and proctoring. Detailed information about data collection is provided in our Privacy Policy.
8. Third-Party Services
The Platform integrates with third-party services including AI providers, speech processing providers, cloud storage, meeting platforms (Microsoft Teams, Zoom, Google Meet), calendar services, and email delivery providers. Your use of these services may be subject to their additional terms.
Assessment results and candidate data may be shared with connected Applicant Tracking Systems as configured by Company Administrators, who are responsible for ensuring compliance.
9. Subscription, Fees, and Payment
Access is provided under subscription plans as agreed between Maatrics and Company Administrators. Specific pricing, features, and payment terms are set forth in separate agreements. All fees are non-refundable unless otherwise stated. We may suspend access for overdue payments.
10. Data Retention and Deletion
Assessment data is retained for the duration specified in the applicable agreement or as required by law. Candidates may request deletion in accordance with applicable data protection laws.
When data is deleted through the Platform, it may initially be soft-deleted before permanent deletion occurs. Certain data may be retained in anonymized form for analytics and service improvement.
11. Disclaimers and Limitation of Liability
The Service is provided on an "as is" and "as available" basis without warranties of any kind. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.
Use of the Platform does not guarantee employment or any particular outcome. We do not warrant that AI-generated results will be free from errors, biases, or inaccuracies.
To the maximum extent permitted by law, Maatrics shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount paid by you or your organization in the twelve months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Maatrics from any claims, liabilities, damages, and expenses arising from: your use of the Service, violation of these Terms, violation of applicable law, violation of third-party rights, content you upload, or decisions made using Platform data.
13. Termination
Candidates may request account deletion by contacting support. Company Administrators may terminate subscriptions per their agreement terms.
We may suspend or terminate access for violation of these Terms, fraudulent activity, non-payment, or extended inactivity. Upon termination, your right to access ceases immediately. We may retain data as necessary for legal obligations, dispute resolution, or agreement enforcement.
14. Dispute Resolution
These Terms shall be governed by the laws of the jurisdiction in which Maatrics is incorporated. Any dispute shall first be attempted through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration or the competent courts.
To the extent permitted by applicable law, claims shall be brought in your individual capacity and not as part of a class or representative proceeding.
15. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice. Your continued use after changes take effect constitutes acceptance of the modified Terms.
16. General Provisions
These Terms, together with the Privacy Policy and any applicable subscription agreement, constitute the entire agreement. If any provision is found unenforceable, the remaining provisions continue in effect. Our failure to enforce any right shall not constitute a waiver.
You may not assign your rights without our consent. We shall not be liable for failure or delay due to circumstances beyond our reasonable control including natural disasters, pandemic, government action, or internet disruptions.
